In odd-numbered years, Nebraska limited liability companies and nonprofit corporations must file Biennial Reports with the Nebraska Secretary of State. These reports and the applicable fee are due by April 1. Suppose the report is not filed and the fee is not paid by April 1. In that case, the Nebraska Secretary of State will determine that a ground exists for the administrative dissolution of the company and will file a record of that determination. Suppose the Biennial Report is not filed by June 1. In that case, the entity will be administratively dissolved with the Nebraska Secretary of State and will no longer be active or in good standing.
Notices were sent to the registered agent of each active Nebraska limited liability company and nonprofit corporation by the Nebraska Secretary of State earlier this year. If you are the registered agent for your company, review your company’s records with the Nebraska Secretary of State to ensure your address is up to date.
